1. Introduction

Welcome to PERSONUS Consulting. By accessing or using our website, workshops, or services, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you should discontinue use of our services immediately. These Terms constitute a legally binding agreement between you and PERSONUS Consulting regarding the use of our services, website, and any associated materials.

2. Definitions

For the purposes of these Terms:

• Company refers to PERSONUS Consulting (dba), operated by Hailey Magsig.

• Services include but are not limited to business consulting, workshops, Q&A sessions, and other professional services offered by the Company.

• Website refers to https://www.personusconsulting.com.

• User/You refers to any individual or entity accessing or using the Services.

3. Use of Services

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are legally capable of entering into contracts. You agree to use the Services for lawful purposes only and not to engage in any activity that violates applicable laws or infringes upon the rights of others. We reserve the right to refuse service or restrict access to any User at our sole discretion.

4. Orders, Payments, and Cancellations​

4.1 Placing Orders

By purchasing a Service, you acknowledge and agree that you are entering into a binding contract with the Company. All purchases are subject to acceptance by the Company, and we reserve the right to refuse or cancel orders at our discretion.

4.2 Payment Terms

All payments must be made in full at the time of purchase unless otherwise specified. Payments are accepted via major credit cards, debit cards, or other online payment methods as made available by the Company. Payment processing is handled by third-party providers, and we do not store or retain any payment information.

4.3 Cancellations & Refunds

Business Services

The Introductory Package purchased through the Website for $99 may be canceled within 24 hours of purchase for a full refund. No refunds will be issued beyond this period, except at our sole discretion. For all other Business Services, separate contractual agreements will outline specific cancellation and refund policies.

Workshops

Workshop registrations may be canceled up to 48 hours before the scheduled start time. Cancellations made within this period will receive a refund minus a 5% cancellation fee. No refunds will be issued for cancellations made less than 48 hours before the workshop start time.

If a workshop, consultation, or other Service is canceled by us, you will be given the option of receiving a full refund or rescheduling. Refunds will be issued using the original payment method.

5. Accuracy & Availability

We strive to provide accurate and up-to-date information regarding our Services, but we do not guarantee that all content will be error-free or available at all times. Prices, descriptions, and availability of Services are subject to change without prior notice. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without liability.

6. Intellectual Property

All content, materials, and trademarks displayed on our Website or provided through our Services are the exclusive property of PERSONUS Consulting or its licensors. Users are not permitted to copy, reproduce, modify, distribute, or use any materials without prior written permission from the Company. Any unauthorized use of our intellectual property may result in legal action.

Workshop materials, including but not limited to slides, handouts, templates, and other resources, are provided solely for the personal use of registered participants. These materials may not be shared, distributed, resold, or otherwise made available to any third party without the express written consent of PERSONUS Consulting. Some materials may only be provided after the workshop concludes at our discretion.

7. Feedback & Suggestions

By submitting feedback, suggestions, or ideas to PERSONUS Consulting, you grant us a non-exclusive, irrevocable, royalty-free license to use, modify, distribute, and implement such feedback without compensation or obligation.

8. Third-Party Links & Services

Our Services may contain links to third-party websites or services that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party services. Users access third-party sites at their own risk and are encouraged to review their respective terms and policies.

9. Dispute Resolution

In the event of a dispute, both parties agree to attempt to resolve the matter through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days, mediation shall be pursued before any legal action is taken. Mediation shall take place in Alameda County, California, with costs shared equally by both parties. If mediation fails, the dispute shall be resolved exclusively in the state or federal courts located in Alameda County, California.

All users, regardless of their place of residence or whether they are acting as individuals or businesses, agree that any disputes shall be resolved exclusively in Alameda County, California. By purchasing or using our Services, you consent to this venue and waive any objections related to inconvenience or jurisdiction.

10. Limitation of Liability

To the fullest extent permitted by law, PERSONUS Consulting and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our Services, including but not limited to loss of profits, business interruption, loss of data, or other damages, whether in contract, tort, or otherwise, even if we have been advised of the possibility of such damages.

Our total liability for any claim related to our Services shall not exceed the amount paid by the User for the specific Service in question. If no amount was paid, our total liability shall be limited to $50. Some jurisdictions do not allow certain exclusions or limitations of liability, so some of these limitations may not apply to you.

Our Services are provided "as is" and "as available" without any warranties, express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
